Janusz Konopka – Chairman of the Supervisory Board
A resident of Tuszyn. Higher military education, a graduate of the Military University of Technology in Warsaw, PhD in physics from the Polish Academy of Sciences. From 1973-1990 employed at the Institute of Technology in Wrocław as section manager. Owner of the company “Profilex” representing the postal administrations of Australia, Ireland, Great Britain and other postal administrations in Poland. Janusz Konopka does not perform any activity outside Gant S.A. which would be competitive to Gant S.A.’s activity. There are no family relations between Janusz Konopka and other members of the Supervisory Board or the members of the Management Board. Mr. Janusz Konopka is not a partner in the limited partnerships and does not perform any function in the authorities of other capital companies other than the companies belonging to the Gant S.A. Capital Group.
Grzegorz Antkowiak - Vice-Chairman of the Supervisory Board
Mr. Antkowiak has higher education, a graduate of the University of Technology in Kiev. He has the working knowledge in the range: of the financial management, the project management, the market of the real estate, as well as the economic, tax and revenue law.
In 1992 Grzegorz Antkowiak established Gant company with registered office in Legnica, and was a Deputy of the Board for successive years. In 1986 he established Gant SA and he was a Proxy and later Director – general. Through next years next years a member of the authorities of capital companies, among others: a Member of the Supervisory Board of Gant Development SA, Kantor Polski SA, Pod Fortem Sp. z o.o., and President of the Management Board of Gant 74 Sp. z o.o. and Projekt Robotnicza Sp. z o.o. In previous five years Mr. Grzegorz Antkowiak did not participate in any administrative, management and supervisory bodies as a member of its authorities, and also did not participate as a member of authorities in entities, which were declared bankrupt, under receivership or in liquidation. Mr. Grzegorz Antkowiak does not conduct the business activity outside of Gant Development SA. Mr. Grzegorz Antkowiak was the Chairman of the Lower Silesia Chess Association as well as a Vice-chairman of the Polish Chess Connection.
Bogna Sikorska – Supervisory Board Member
Mrs. Sikorska is a graduate of the Banking and Finances Department of Warsaw School of Economics. From 1996 associated with the capital market. Employed in the brokerage houses: Capital Transactions Centre of Bank Handlowy in Warsaw, Central Brokerage House of Pekao S.A., Brokerage House of Bank Gospodarki Żywnościowej. She was responsible for investor relations at Ster-Projekt S.A. Bogna Sikorska conducts business activity in the area of investor relations, public relations and media relations and analyses of business entities and selected segments of the economy. This activity is not competitive to the activity of GANT S.A. Bogna Sikorska has been a member of the Supervisory Board of Zakłady Przemysłu Cukierniczego Mieszko S.A. since June 2003 and Amica Wronki S.A. since June 2006. Bogna Sikorska is not listed in the Register of Insolvent Debtors kept pursuant to the KRS Act.
Adam Michalski – a resident of Wrocław. Higher education, engineer, mechanic, a graduate of the Department of Mechanics at Wrocław University of Technology. From 1982 conducted business activity in the electronic and television workshop, MIMAX. Later Mr. Michalski conducted business activity in the catering industry. Adam Michalski conducts business activity outside the company which is not competitive to the activity of Gant S.A. Capital Group. There are no family relations between Adam Michalski and other members of the Supervisory Board or the members of the Management Board. Mr. Adam Michalski is not a partner in limited partnerships and does not perform any function in the authorities of other capital companies other than the companies belonging to the Gant S.A. Capital Group.
Sven-Torsten Kain – Supervisory Board Member
A graduate of the Poznań University of Economics, foreign trade specialisation. From 1978-1990 worked at PHZ Industrieanlagen – Import in Berlin involved in the import of complete industrial facilities and production lines. From 1990–1998 was employed at Bayerische HypoVereinsbank, and from 1998-1999 at RHEINHYP Rheinische Hypothekenbank AG, Frankfurt, as Project Manager Poland. From April 1999, Member of the Management Board of BRE Bank Hipoteczny. Sven-Torsten Kain does not conduct any other activity outside the Issuer’s enterprise. Sven-Torsten Kain does not participate in a competitive company, as a partner in a partnership or general partnership or a member of the authorities of capital companies and does not participate in any other competitive legal entity as a member of its authorities. Sven-Torsten Kain is not listed in the Register of Insolvent Debtors kept pursuant to the KRS Act.
Tomasz Dudek - Supervisory Board Member
Mr. Dudek is a graduate of the Wrocław University of Technology and Helsinki School of Economics/ Bank College in Poznań (Executive MBA Program). Having completed the course for candidates for supervisory boards and management boards of companies, he passed a state examination in this respect, so he has powers of the candidate for JSSP supervisory boards. Mr. Tomasz Dudek participated in Supervisory Boards in such companies as: TBS we Wrocławiu Sp. z o.o. (Deputy Chairman of the Supervisory Board), DOFAMA DFM S.A. (Supervisory Board Member), Tailor Impel Sp. z o.o. (Deputy Chairman of the Supervisory Board). At present Mr. Tomasz Dudek is the Chairman of the Management Board of Impel Catering Sp. z o.o. in Wrocław and Wena S.A. in Zielona Góra. This activity is not competitive to the activity of the Issuer. Tomasz Dudek is not participating in entity conducting competitive activity to the Issuer. Mr. Tomasz Dudek is not listed in the Register of Insolvent Debtors kept pursuant to the KRS Act.
Anna Kulesza – Supervisory Board Member
Ms Anna Kulesza has university education. She graduated from the Faculty of Law at the University of Warsaw and completed managerial studies at the Warsaw School of Economics. In 2007 she graduated from the doctoral studies at the Faculty of Law and Administration of the University of Warsaw in the field of jurisprudence, tackling the issue of operation of the Supervisory Board as an effective element of corporate governance. She started her professional career in 1997 as a specialist for legal and organisational issues at Agromet -TOR sp. z o.o., and then as the Director of the Legal Office at Hoop S.A. (Kofola S.A.). Since 2005 Ms Anna Kulesza has been a member of the Supervisory Boards of Rabat Pomorze S.A., Paola S.A. and Mispol S.A.
At the moment, Ms Kulesza is a member of the Supervisory Board of Mispol S.A. and works for the Audit Committee which is the Supervisory Board's body, and at the same time provides legal services for business entities.
Dariusz Małaszkiewicz – Supervisory Board Member
Mr Dariusz Małaszkiewicz is a graduate of the Wrocław University of Economics. In 1993 he was awarded the Stockbroker Licence. Between 1993 and 1994 Mr Dariusz Małaszkiewicz was the manager of the Primary Market Team at Bank Zachodni S.A., Brokerage House in Wrocław. Between 1995 and 2001 Mr Małaszkiewicz worked as an analyst at the analysis department of the Bank Zachodni S.A. Brokerage House. In addition, between 1996 and 1997 he was a member of a derivatives committee at the Chamber of Brokerage Houses. Between 1996 and 2002 he held the position of the Vice-Chairman of the Supervisory Board of GANT S. A.
