History and development of Gant S.A. Capital Group. The company of „GANT” was established on 16th December 1991 as a result of concluding the Agreement of a limited company, then on 31st January 1992 registered in the District Court in Legnica V Economical Department, under the number RHB 693. The founders of the Company were Grzegorz, Karol and Henryk Antkowiak
The Company took up its activity in May 1992 starting from opening the currency exchange in Legnica at Rynek 28. The company’s principal office is located under this address to date.
Gradually the Company was expanding the territory of its activity, in 1993 a new currency exchange arose in Swidnica, in 1994 in Wroclaw, Dzierzoniow and Jawor; in 1995 another one opened in Wroclaw, Glogow and Leszno.
In 1995 the Company took over, in accordance with the article 464 of the Trade Code, the property of the Company GANT Ltd Brokerage Enterprise with the office in Wroclaw. The merging of the companies was registered by the decision of the District Court in Legnica on 3rd August 1995. The property of each merged company was managed separately by the surviving company through the period of six months from the date of the last announcement upon intention of merging the properties, according to the disposition of the article 287 of the Trade Code.
The Meeting of Partners of „GANT” Limited Company held on 28th November 1995 passed a resolution upon transforming the Company into joint-stock company with a share capital of 600.000 PLN and adopted company’s statute (notary deed, A repertory no 184/1995 of 28th November 1995 in front of Wojciech Kaminski, the notary). On 30th August 1996, the District Court in Legnica V Economical Department – the Register Section, issued a decision upon registering “GANT” Joint-stock Company under the number RHB 1409.
The joint-stock company was joined by all the previous shareholders of „GANT” Ltd.

On 18th September 1996 the Extraordinary General Meeting of Shareholders passed a resolution upon increasing Company’s capital from the sum of 1.800.000 PLN to 2.400.000 PLN on the way of emitting B-series shares. The increase of share capital was registered on 20th November 1996.
On 29th November 1996 the Extraordinary General Meeting of Shareholders passed a resolution upon increasing Company’s capital on the way of public emission of C-series shares. On 14th August 1997 the Stock and Exchange Committee admitted to listing A, B and C-series shares of the Company. Unfortunately, the public subscription of C-series shares carried out in September 1997 failed. The investors subscribed for 440.000 from 1.300.000 offered shares. In December 1997 the Company applied for admitting B-series shares to listing on CTO. The first quotation took place on 9th January 1998.
On 2nd March 1998 the Extraordinary General Meeting of Company’s Shareholders passed a resolution upon emitting from 400.000 to 600.000 C-series common shares to bearer with a nominal value 1 PLN. On 28th May 1998 the Stock and Exchange Committee admitted C-series shares to listing. Due to carrying out a public subscription, 422.050 shares were purchased. The increase of the capital to the sum of 2.822.050 PLN was registered on 29th July 1998. On 23rd September 1998 the Exchange Board admitted shares to listing on free market. The first quotation took place on 2th December 1998.
In 1999 the Company was still developing its currency exchange activity. Moreover, at the turn of 1998 and 1999 it started an activity in the new field of developer services. First developer investment in Company’s history was construction of a building at Balzaka in Wroclaw with flats for rent. The investment lasted from 1999 to 2000. Next, in 2001 the Company started to administrate the above mentioned estate, expanding the subjective range of its activity with management over service and housing estates. In the year 2000 Company’s sales exceeded for the first time 1 billion PLN.
In2000 a resolution was passed upon assigning the currency exchange activity to a separate subsidiary. The decision was taken in order to avoid tax inconveniences connected with keeping the VAT-inclusive and VAT-exempt activities within frames of a single accountancy, and allowed for preparing a currency exchange riser for possible sale. On 21st May 2001 a Founding Act was signed for „GANT” Limited Company , to which GANT S.A. contributed an organized part of the enterprise. Then, on 15th June 2001 a Company „GANT74” Ltd was brought into life for the purpose of rebuilding a tenement at Szewska 74 in Wroclaw and for realizing an investment in Czestochowa at Dabrowskiego 8.
In 2001, on the basis of the resolution passed by the Ordinary General Meeting of Shareholders of 11th May 2001, Gant S.A. began to purchase own shares at the Stock Exchange in Warsaw. By the end of 2002, Gant S.A. purchased at the Stock Exchange 197.272 pieces of shares of a total value of 525.000 PLN, and the average purchase price per a single share equaled 2,66 PLN. The purchase of Company’s own shares was continued in 2003. The final result amounted to 381.712 purchased B-series shares to bearer. The purchase of own shares was covered with remuneration equaling 826.548,78 PLN in total. On 26th June 2003 the Ordinary General Meeting of Shareholders passed a resolution upon decreasing the initial capital from the sum of 2.822.050 PLN to 2.440.338 PLN, that is with the sum of 381.712 PLN, the purpose of which was to improve the current exchange quotations of the Company. The decrease of the initial capital to the sum of 2.440.338 PLN was registered on 19th December 2003.
In 2002, Gant started another developer investment at Sliczna in Wroclaw, consisting in construction of housing units and business premises, together with its separation and sales. Commission of the separated premises took place in 2004, the Company however still manages the estate.
In 2003, Gant was expanding its developer activity. For this purpose, on 5th November 2003 another company -BIELBUD” Ltd -was established to carry out adaptation of premises in the building at Powstancow Slaskich in Wroclaw in 2006.
In January 2004, a special purpose vehicle „SLICZNA8” Ltd brought to life by the Issuer in 2002, realizes an investment at Strzegomska in Wroclaw, the finishing of which is planned on the second quarter of 2006.
In 2004 the Issuer also purchased 11,43 % of shares in the Company of Kantor Polski S.A., thanks to which it expanded the field of activity with new financial services: realization of cash transfers of Western Union, accepting media charges and granting short-term credits in cooperation with Citibank, Getin Bank and Mikołowski Bank Spółdzielczy.
On 30th December 2004 another special purpose vehicle- „KĄTY -1” Ltd was established.
In 2005 another special purpose vehicles of Gant S.A. Group were established to realize developer investments. On 7th February 2005 - the „BIELPROJEKT” Ltd Company was brought into life., on 8th July 2005 – a special purpose vehicle „PRZY KASZUBSKIEJ” Ltd responsible for realization of an investment at Kaszubska in Wroclaw, and on 13th December 2005 a Company of „KAMIENNA - 105” Ltd.
